Corporate/M&A Lawyer

About the role

Dentons is seeking a highly skilled Corporate/M&A Lawyer to join its expanding Corporate/Mergers & Acquisitions department in Tunis. The role involves providing high‑quality legal services to national and multinational corporate clients and managing complex transactions.

Key responsibilities

• Serve as primary legal advisor for a portfolio of corporate clients, offering strategic and operational support.
• Advise on company formation, legal structuring, and corporate governance, including cross‑border entities.
• Support all stages of M&A transactions: conduct due diligence, draft and negotiate LOIs, MoUs, term sheets, shareholders’ and partnership agreements.
• Draft, review and negotiate commercial and corporate contracts, ensuring alignment with business goals.
• Conduct legal research on corporate, financial and tax law and produce memoranda and regulatory analyses.

Required profile

• Minimum 5 years of experience in Corporate/M&A law, preferably at a reputable law firm.
• Deep expertise in corporate law with working knowledge of tax, financial and banking law.
• Proven ability to manage M&A transactions from due diligence to post‑closing.
• Strong analytical skills and capacity to handle multiple projects simultaneously.

Required skills

• Excellent drafting skills in complex legal documents in Arabic, French and English.
• Full proficiency in Arabic, French and English – written and spoken.
